Terms of Use

1. Acceptance of Terms

By creating an account, accessing, or using any part of the V-ENT Platform, you agree to comply with and be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, you may not access or use the Platform.

2. User Accounts and Registration

• Account Creation: To access certain features, you must register for an account by providing your email and password, or by signing up through existing social media accounts (e.g., Google). You must verify your email address during registration.
• Unique Username: You can create a unique username (case-insensitive).
• Account Security: You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account. You can enable Two-Factor Authentication (2FA) for added security.
• Account Recovery: Mechanisms for account retrieval in case of forgotten credentials are provided.
• Profile Information: You can view and update your profile information, including username, avatar, bio, esports image, linked social media, and gaming accounts (e.g., Steam, PlayStation, Xbox, COD, PUBG, Freefire).
• Public Profile Visibility: You have control over what details of your profile are publicly visible.
• Accuracy of Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3. Platform Features and Services

V-ENT offers a wide range of features for various user types:

User Features

• Tournament & Event Registration: Search, browse, and register for tournaments and events, view details (rules, prize pool, dates, fees), and manage team rosters. Payment of registration fees can be made from your wallet.
• Team Management: Create and manage teams, including team profiles (logo, bio, social media links), invite and remove members, assign roles (captain, vice-captain, coach), and transfer ownership.
• Community Engagement: Join communities, post messages, images, or videos, react to and comment on posts, tag other users/organizations, and rate/review content.
• Financial Management (Vent Wallet): View wallet balance, send VENT COINS to other users, teams, or organizations, purchase premium features, request payouts in USDT to crypto wallets, and view transaction history.
• Anime Features: Upload original manga/comics, set visibility and monetization options, and provide details (title, description, genre, tags). Readers can browse, search, read with various controls, comment, rate, bookmark, and subscribe to series. Co-reading with synchronized page turns and communication tools is available.
• Marketplace (Vermillion City): Create and manage listings (physical/digital products, services), set pricing, track inventory, and manage orders. Buyers can browse, search, filter, make purchases, place bids, leave reviews, and create wishlists.
• Wager Features: Create and participate in wagers, monitor bets, oversee payouts, and analyze wager data.
• Vent Shop (E-commerce): Browse physical and digital products, filter by categories, select attributes, manage orders, track delivery, and benefit from promotions.

Organizer Features

• Organization Creation & Management: Create organizations, define roles and permissions, invite/remove members, and post job listings.
• Tournament & Event Hosting: Create and manage tournaments/events, set rules, formats, prize pools, and visibility, invite teams/players, and send announcements.
• Financial Management: Manage funds, transaction history, transfer funds, accept payments/sponsorships, and generate financial reports.
• Analytics & Insights: View organizational performance, team statistics, and community engagement metrics.
• Community Management: Create and manage forums, chat rooms, moderate discussions (manual and automated), manage users, review content, and customize guidelines.

AI Features

Virtual Fitting Room, Automated Tournament Creation, Game Results Processing, and Chatbot Engagement.

4. Premium Features

V-ENT offers premium features that provide enhanced access and functionalities, including but not limited to:

• Custom emblems/animated avatars and profile themes for users.
• Early registration/check-in for tournaments/events, and no penalty points for missed events for premium users.
• Detailed analytics and boosted listings for premium organizations.
• Advanced tournament hosting options, including automated prize distribution, restricted participation based on region/criteria, QR/simple codes for entry, and live streaming.
• Boosted visibility for premium anime authors/artists.
• Automated tournament creation via AI prompts (with limited free usage).

Access to premium features may require payment in VENT COINS or other specified methods.

5. Financial Transactions and Vent Coins

• VENT COINS: The platform utilizes "VENT COINS" as a primary currency.
• Purchases: Users can purchase VENT COINS using fiat currency or USDT.
• Payouts: Users can request payouts in USDT to their crypto wallets. All payout requests are subject to admin approval.
• Transaction History: A detailed transaction history is available for all VENT COIN activities.
• Security: Wallets can be secured with two-factor authentication and a PIN.
• Marketplace & Shop Transactions: The Platform facilitates secure and reliable transactions for marketplace listings and products in the Vent Shop.
• Wager Fees: The Platform may charge a fee for facilitating wagers.

6. User Conduct and Content

• Responsible Use: You agree to use the Platform responsibly and in compliance with all applicable laws and regulations.
• Prohibited Conduct: You must not:
  • Upload or share content that is illegal, harmful, offensive, or infringes on intellectual property rights.
  • Engage in fraudulent activities, including in the Marketplace or Wager features.
  • Interfere with the proper functioning of the Platform.
  • Attempt to gain unauthorized access to any part of the Platform or other users' accounts.
  • Violate any community guidelines or rules established by V-ENT or individual organizations/communities.
• Content Moderation: V-ENT reserves the right to moderate content, including the ability to delete or edit posts, pin posts, lock threads, filter keywords, detect spam, and issue warnings or bans for violations of community guidelines.
• Reporting Mechanism: Users can report inappropriate content or suspicious activities to platform administrators.

7. Intellectual Property

• Platform Content: All content and features on the V-ENT Platform, including but not limited to text, graphics, logos, designs, software, and underlying code, are the property of V-ENT or its licensors and are protected by intellectual property laws.
• User-Generated Content: You retain ownership of the content you create and upload to the Platform (e.g., manga/comics, team logos, etc.). However, by uploading content, you grant V-ENT a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, display, and perform your content in connection with the Platform's operation and promotion.
• Esports Images: You grant V-ENT the right to generate team esports images from uploaded individual esports images.

8. Disclaimers and Limitation of Liability

• "As Is" Basis: The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.
• No Guarantee: V-ENT does not guarantee the accuracy, completeness, or reliability of any content on the Platform, including user-generated content, marketplace listings, or wager outcomes.
• Wagers: Participation in wager features carries inherent risks, and V-ENT is not responsible for any losses incurred from wagering activities. Users are responsible for understanding and complying with local laws regarding online wagering.
• Third-Party Links: The Platform may contain links to third-party websites or services. V-ENT is not responsible for the content or practices of these third parties.
• Limitation of Liability: To the fullest extent permitted by law, V-ENT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Platform; (b) any conduct or content of any third party on the Platform; or (c) unauthorized access, use, or alteration of your transmissions or content.

9. Indemnification

You agree to indemnify, defend, and hold harmless V-ENT, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your violation of these Terms or your use of the Platform.

10. Modifications to Terms

V-ENT reserves the right to modify these Terms at any time. We will notify you of any changes by posting the updated Terms on the Platform and updating the "Effective Date" at the top of these Terms. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in Lagos, Nigeria, or, where arbitration is unavailable or inapplicable, through the exclusive jurisdiction of the courts in Lagos, Nigeria.

12. Miscellaneous

• Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.
• Entire Agreement: These Terms constitute the entire agreement between you and V-ENT regarding your use of the Platform.
• No Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. V-ENT's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
